Bylaws

ARTICLE VI     Board of Directors Meetings

Section 1

The board of directors shall conduct all of the business affairs of the association except those specifically reserved to the membership by the Constitution and bylaws; namely, the election of officers and directors and adoption of amendments to the Constitution and Bylaws.

Section 2

The board of directors shall meet for the purpose of transacting business not less than eight times a year.

Section 3

Six members shall constitute a quorum for the conduct of business at a meeting. A simple majority of members present rules for the adoption of any resolution or motion.

Section 4

A member of the board may be removed from office for non-performance of duties by the board of directors, or, after two consecutive unexcused absences. In the event of such action, the president shall appoint a fellow member to complete the unexpired term subject to approval by the board of directors.
